Seller Agreement

This Seller Agreement applies to anyone who lists or sells items on PIM Marketplace ("you," "Seller"). It supplements, and is part of, our Terms of Service. If there is a conflict about selling, this Seller Agreement controls for that subject. Capitalized terms have the meaning given in the Terms of Service.
1. Your relationship with us
You are an independent business and the seller of record for the items you list. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. We provide the Marketplace as a venue and provide tools — catalog and inventory integration (via the PIM system), listing, search, messaging, offers, checkout, payment facilitation, and shipping-label generation — but we do not take title to your items and are not a party to the sale between you and a buyer.
2. Onboarding, verification, and payment account
To sell, you must register, be approved by us, and complete onboarding with our payment processor, including any identity, business, and bank-account verification it requires ("know-your-customer" / KYC). You authorize us and the payment processor to verify your information and to use a connected account (e.g., Stripe Connect) to receive payouts. You must keep your account and payout details accurate. We may decline, suspend, or offboard sellers at our discretion, including for risk, policy, or legal reasons.
3. Listing standards
- List only items you own or are authorized to sell and that comply with our Acceptable Use & Prohibited Items Policy. Counterfeit, replica, or infringing items are strictly prohibited.
- Descriptions, images, grades, condition ratings, and any authenticity or certification claims (e.g., third-party grading) must be accurate, your own or properly licensed, and not misleading.
- Set honest prices and honor them. Do not manipulate search, offers, reviews, or pricing, and do not list items you cannot fulfill.
- Keep inventory and availability accurate. You are responsible for overselling; if you cannot fulfill a confirmed order, you must promptly cancel and, where the buyer was charged, cooperate with a refund.
- You grant us the license to your listing content described in the Terms of Service.
4. Fees and commission
When an item sells, you pay us a commission of 8% of the item price, plus any other fees in effect at the time of sale. Commission rates in effect at the time an order is placed are frozen for that order. Unless stated otherwise, commission is calculated on the item price and does not apply to shipping charged to the buyer, which is passed through to you. Payment-processing fees may also apply. We may change fees prospectively with reasonable notice; changes do not affect orders already placed.
5. Payments, settlement, and payout holds
Buyers pay through our payment processor. We facilitate collection and then remit your share — the item price plus pass-through shipping, less commission and fees — to your connected payment account. Settlement and payout timing are subject to the payment processor's schedule and to the following holds:
- New-seller and risk holds. We may hold payouts for new sellers or higher-risk transactions until conditions are met (for example, after the item ships and after a defined clearance period), and may release holds as your account establishes a positive track record ("graduation"). Hold policies are administered by us and may be adjusted over time.
- Dispute and receipt holds. If a buyer opens a dispute or has not confirmed receipt, the related payout may be frozen until the matter is resolved or the item is confirmed received (including by auto-confirmation after the applicable window).
- Recoupment. You authorize us to withhold, offset, or recoup amounts you owe us (for example, refunds, chargebacks, shipping-label costs, fees, or negative balances) from your current or future payouts, or to invoice you if payouts are insufficient.
Chargebacks. You are financially responsible for chargebacks and payment reversals on your orders, and you agree to cooperate in responding to them.
6. Fulfillment and shipping
You must fulfill confirmed orders promptly and in accordance with the handling time and shipping options shown on your listings. You are responsible for packaging items to arrive safely. You may purchase shipping labels through our integrated provider (Shippo and its supported carriers); the cost of such labels may be deducted from or recouped against your payouts. You are responsible for providing valid tracking where applicable, for meeting carrier requirements, and for compliance with shipping laws. Risk of loss and title pass as described in the applicable sale terms and our Returns & Refunds Policy.
7. Returns, refunds, and disputes
You must handle returns and refunds consistent with our Returns & Refunds Policy, applicable consumer-protection law, and any seller-specific policy you publish (which may not fall below the minimum protections we require). When a refund is issued, our commission is adjusted as described in that policy (for example, commission on the refunded portion is returned so the net reversal reflects the amount refunded less any commission already returned). You authorize us to process refunds and reversals on your behalf and to recoup amounts as described in Section 5.
8. Taxes
You are responsible for determining, collecting, reporting, and remitting all taxes on your sales except where we are legally required, as a marketplace facilitator, to collect and remit them. You are responsible for your own income and business taxes and for providing accurate tax information (for example, for any required IRS reporting such as Form 1099-K issued by the payment processor). You should consult your own tax advisor about your obligations.
9. Ratings, feedback, and off-platform conduct
Buyers may leave reviews and feedback about their experience. You may not incentivize, fake, or manipulate reviews, retaliate against buyers for honest feedback, or use messaging to harass buyers or to divert transactions off-platform to avoid fees or buyer protections. Doing so may result in removal of listings, withheld payouts, or termination.
10. Your representations and indemnity
You represent and warrant that you have the right to sell your items, that they are authentic and lawful, that your listings are accurate, and that your sales comply with all applicable laws. You will indemnify and hold us harmless as described in the Terms of Service, including for claims arising from your items, listings, fulfillment, taxes, or violations of law or third-party rights.
11. Suspension, delisting, and termination
We may remove or hide your listings, withhold or delay payouts, limit features, or suspend or terminate your seller account if you violate this Agreement, our policies, or the law, or to manage risk. Suspension may hide your storefront and listings from buyers. On termination, you remain responsible for fulfilling open orders and for obligations that survive, including refunds, chargebacks, indemnities, and recoupment.
